These Terms and Conditions ("Terms") govern your use of the website located at vorocopty.site and any services provided by VORO Co Pty Ltd (ACN 696 810 456, ABN 97 696 810 456), a proprietary limited company registered in Victoria, Australia ("VORO Co", "we", "us", or "our").
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
VORO Co provides trading, import-export facilitation, procurement, business consulting, contract management, and related commercial services. Specific services will be described in individual service agreements or quotes provided to clients. These Terms apply to all services unless a separate written agreement expressly overrides them.
Our services come with consumer guarantees under the Australian Consumer Law (ACL) (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded. Nothing in these Terms is intended to limit, exclude, or restrict those statutory guarantees.
Where our services are supplied to a "consumer" as defined under the ACL, you are entitled to guarantees that the services will be provided with due care and skill, will be fit for the purpose for which they are supplied, and will be delivered within a reasonable time (where no time is specified).
All quotes are provided in Australian dollars (AUD) and are valid for 30 days unless otherwise stated. Prices are exclusive of GST unless expressly stated otherwise. GST will be charged in addition at the prevailing rate where applicable.
Payment terms will be outlined in individual service agreements or invoices. Unless otherwise agreed in writing, invoices are due and payable within 14 days of issue. Late payment may attract interest charges and/or suspension of services.

You may not reproduce, distribute, or use our content without prior written consent.
To the maximum extent permitted by law, VORO Co's liability to you for any loss or damage arising from or in connection with our services or website (whether in contract, tort, or otherwise) is limited to the amount paid by you for the specific service giving rise to the claim.
We are not liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, revenue, or business opportunity.
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under Australian law.
You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of any third party. We reserve the right to suspend or terminate access to our website at any time without notice.
While we take care to ensure accuracy, the information on our website is provided "as is" without warranty of any kind. We do not warrant that the website will be available at all times or free from errors.

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your personal information as described in our Privacy Policy.
These Terms are governed by the laws of the State of Victoria, Australia, and the applicable laws of the Commonwealth of Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Victoria for any dispute arising from or in connection with these Terms.
In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiation before pursuing formal legal proceedings. If negotiation fails, either party may refer the matter to mediation before a mutually agreed mediator.
VORO Co reserves the right to update these Terms at any time. Updated Terms will be posted on our website. Continued use of our website or services after posting constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
